Stock Footage Licensing Terms

Effective Date: [10-1-2026]

These Stock Footage Licensing Terms ("Terms") govern the licensing and use of video footage made available by Lumen Creative Unit ("Lumen," "we," "us," or "our").
By purchasing, downloading, accessing, or using Lumen footage,
the purchaser ("Licensee," "you," or "your") agrees to these Terms.
‍1. OwnershipAll footage made available by Lumen remains the property of Lumen Creative Unit and/or its applicable copyright owner. Purchasing footage does not transfer copyright, ownership, title, or any other ownership interest in the underlying footage to the Licensee. The Licensee is purchasing a license to use the footage subject to these Terms.
‍2. Commercial LicenseEach individual footage asset is offered under a Commercial Licenseunless a different license is expressly identified on the applicable asset page or provided in a separate written agreement. The applicable license fee is the price displayed on the applicable asset page at the time of purchase. Lumen may offer footage at different price points based on the individual asset. The applicable price does not alter the rights granted by the Commercial License unless expressly stated otherwise.
The Commercial License is: Non-exclusive Worldwide Perpetual Limited to one finished production.
‍3. Permitted UseSubject to these Terms, the Licensee may incorporate the licensed footage into one finished production.A finished production may include, for example: Online videos, YouTube productions, Social media videos, Websites, Commercial or promotional videos, Corporate productions, Documentary productions, Independent films, Nonprofit productions, Digital advertising, Editorial or informational productions,

The same finished production may be distributed through multiple outlets or platforms. For example, a single finished video may be distributed on YouTube, Vimeo, Instagram, Facebook, TikTok, a website, television, or other platforms where otherwise permitted by the applicable license. Distribution of the same finished production through multiple platforms does not constitute multiple productions. The same licensed footage may not, however, be incorporated into separate unrelated productions without an additional license. Each separate production requires its own applicable license unless Lumen expressly agrees otherwise in writing.
‍5. Client and Agency UseA Licensee may incorporate the footage into a finished production created for one of its own clients. The Licensee may deliver the completed production to that client as part of the normal delivery of the finished work. The Licensee may not transfer, sell, sublicense, or otherwise grant the client rights to the underlying footage itself. The client receives access to the footage only as incorporated into the completed production. If the client wishes to use the footage in a separate production, the client must obtain its own applicable license unless Lumen has expressly authorized such use in writing.
‍6. Distribution of the Finished ProductionThe Licensee may distribute, publicly display, stream, perform, publish, and otherwise make the completed production available to the public, subject to the limitations of the applicable license. The Licensee may monetize the finished production. The Licensee may not make the underlying Lumen footage available for download, extraction, reuse, or redistribution as footage.

Use the footage in a manner that falsely implies sponsorship, endorsement, or affiliation with Lumen or the creator.
Use the footage as a standalone product or asset where the footage itself is the primary item being sold or distributed.
‍8. Raw and Source FootageThe Commercial License does not include raw, unedited, original, or source footage. Lumen is not required to provide: Original camera files, RAW files, Log footage, Unedited footage, Project files, Metadata, Original audio recordings, Camera originals, Source files, Any request for raw or source material requires
a separate agreement and additional fee.

Uses that may require a separateBroadcast / Enterprise License include:
Television broadcast, Major streaming productions, Theatrical feature films, Major studio productions, National or large-scale advertising campaigns, Large-scale commercial campaigns, Major corporate productions, High-budget productions, Other uses designated by Lumen as requiring a separate license, Lumen may establish separate pricing and terms for such uses. ‍10. Exclusive RightsAll Commercial Licenses are non-exclusive. Purchasing footage does not prevent Lumen from licensing the same footage to other customers. Exclusive licensing is available only through a separate written agreement with Lumen. No exclusivity is created by implication, regardless of the amount paid or the Licensee's use of the footage.
‍11. AI, Machine Learning and Dataset UseLumen footage may not be used, in whole or in part, to: Train artificial intelligence models, Train machine learning models, Fine-tune AI models, Develop AI or machine-learning systems, Validate or test AI or machine-learning models, Create AI or machine-learning datasets, Create training datasets, Contribute footage to datasets intended for such purposes, Develop generative AI systems using the footage as training material, This restriction applies to the original footage and derivatives where the footage is being used as training or dataset material. This restriction does not prohibit ordinary use of AI-assisted editing, color correction, upscaling, captioning, noise reduction, or similar production tools when the footage is incorporated into an otherwise permitted finished production and the tool is not using the footage to train an AI or machine-learning system.
‍12. Alteration of FootageThe Licensee may make reasonable modifications to the footage for incorporation into the permitted finished production. Permitted modifications may include: Editing, Trimming, Cropping, Resizing, Color correction, Color grading, Speed changes, Stabilization, Transitions, Compositing, Synchronization with audio, Other ordinary post-production modifications, Such modifications do not transfer ownership of the underlying footage to the Licensee.
‍13. Copyright and AttributionLumen retains all copyright and ownership rights in the footage. Unless otherwise stated on the applicable asset page or in a separate written agreement, attribution is not required for licensed use. The absence of an attribution requirement does not constitute a transfer of copyright or ownership. The Licensee may not claim authorship or ownership of the underlying footage.
‍14. Duration and TerritoryThe Commercial License is:Worldwide and perpetual. The permitted license rights do not expire solely because time has passed or because the footage is later removed from the Lumen website. However, perpetual license rights do NOT
mean that Lumen is required to maintain the footage, website, download links, customer account, or any other means of accessing or re-downloading the footage indefinitely.
‍15. Initial Delivery and Future AccessLumen's obligation to provide the licensed footage is limited to the initial delivery of the footage following purchase. The Licensee is responsible for downloading, receiving, storing, backing up, and preserving the licensed footage after delivery. Lumen does not guarantee that a purchased footage file will remain available for future download. Lumen may discontinue, remove, replace, archive, relocate, or otherwise cease hosting any footage or associated download link at any time. Lumen has no obligation to maintain the Licensee's download link, account, purchase portal, website, or other delivery mechanism indefinitely. If the Licensee loses, deletes, damages, or otherwise becomes unable to access a previously delivered file, Lumen is not obligated to provide a replacement copy or restore access. Lumen may, at its discretion, attempt to assist with a replacement file when reasonably possible, but any such assistance is voluntary and does not create an ongoing obligation. The Licensee is therefore responsible for maintaining its own permanent backup of licensed footage.
‍16. Transfer of the LicenseThe license is granted to the purchaser for the permitted production and is not generally transferable to another unrelated production, person, or company. A business, agency, or production company may use the footage in a production it is creating for its client as permitted under these Terms. The license does not permit the Licensee to sell, transfer, or assign the underlying footage rights to another party. Any transfer or assignment outside the permitted client-production relationship requires written authorization from Lumen.
‍17. Unauthorized UseAny use outside the rights granted by the applicable license constitutes unauthorized use.
Unauthorized use may include:

Lumen reserves all rights and remedies available under applicable law in connection with unauthorized use.
18. No Refunds. All purchases are final.
Lumen does not provide refunds, returns, exchanges, or credits for licensed footage.
Because licensed footage is a digital product that may be delivered and retained electronically, the Licensee is responsible for reviewing the applicable asset information, license terms, and intended use before completing the purchase. This no-refund policy applies to, among other things: Change of mind, No longer needing the footage, Selecting the wrong footage, Selecting the wrong quantity, Failure to use the footage, Failure to download the footage, Loss of the downloaded file after delivery, Failure to back up the footage, Incompatibility with the Licensee's editing system or workflow, Nothing in this section is intended to waive or limit any right or remedy that cannot lawfully be waived under applicable law.

Unless expressly stated in writing by Lumen, the purchase of footage does not include any additional third-party permissions, releases, clearances, or licenses relating to subjects depicted in the footage. The Licensee is responsible for ensuring that its use of the footage and finished production complies with all applicable laws, regulations, and third-party rights.
‍20. LiabilityTo the maximum extent permitted by applicable law, Lumen is not responsible for claims arising from the Licensee's use of footage outside the rights granted by these Terms. The Licensee is responsible for its production, distribution, modifications, marketing, and use of the finished production. Any warranties, representations, indemnification obligations, insurance requirements, or expanded liability protections associated with Broadcast / Enterprise or custom licenses must be expressly agreed upon in writing.
‍21. License RecordsThe Licensee should retain its purchase receipt, license confirmation, invoice, or other documentation demonstrating the license obtained from Lumen. The Licensee is also responsible for retaining a copy of the licensed footage.
‍22. No Additional RightsExcept for the specific rights expressly granted by the applicable license, all rights in the footage are reserved by Lumen and/or the applicable copyright owner. No rights are granted by implication.
‍23. Changes to AvailabilityLumen may add, remove, modify, replace, archive, or discontinue footage available through its website. Removal of footage from the website does not by itself terminate a properly granted perpetual license for footage previously licensed, provided that the Licensee continues to comply with these Terms. Lumen has no obligation to continue hosting or providing access to footage after its initial delivery.
‍24. Breach and TerminationIf the Licensee materially violates these Terms, Lumen may terminate the license to the extent permitted by applicable law. Upon termination for breach, the Licensee must cease all use of the footage and, where applicable, remove unauthorized copies of the footage from its systems and distribution channels. Termination does not limit any other rights or remedies available to Lumen.
‍25. Governing LawThese Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles. The parties agree that any legal action arising from or relating to these Terms shall be brought in the state or federal courts located in Michigan, subject to applicable jurisdictional requirements.
‍26. Electronic AgreementThe Licensee's purchase, download, access, or use of the footage constitutes acceptance of these Terms. Electronic records and electronic acceptance may constitute the parties' agreement to these Terms to the extent permitted by applicable law. Michigan's Uniform Electronic Transactions Act recognizes electronic records and electronic signatures in covered transactions.
‍27. Entire AgreementThese Terms, together with the applicable asset page, purchase information, invoice, and any separate written agreement issued by Lumen, constitute the agreement governing the applicable footage license. If a separate written agreement expressly conflicts with these Terms, the specific written agreement will control for the rights and uses expressly addressed in that agreement.
‍28. SeverabilityIf any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by applicable law.

Lumen Creative Unit licenses the photograph itself and does not guarantee that the photograph is cleared for every possible use, purpose, medium, platform, location, audience, or jurisdiction. The Licensee is solely responsible for determining whether its intended use of the photograph requires any additional permissions, releases, clearances, licenses, consents, or other authorizations, and for obtaining any such permissions that may be required. 24. Changes to Availability
Lumen may add, remove, modify, replace, archive, or discontinue photographs available through its website. Removal of a photograph from the website does not by itself terminate a properly granted perpetual license for a photograph previously licensed, provided that the Licensee continues to comply with these Terms. Lumen has no obligation to continue hosting or providing access to a photograph after its initial delivery.

25. Breach and Termination
If the Licensee materially violates these Terms, Lumen may terminate the license to the extent permitted by applicable law. The parties agree that any legal action arising from or relating to these Terms shall be brought in the state or federal courts located in Michigan, subject to applicable jurisdictional requirements.

27. Electronic Agreement
The Licensee's purchase, download, access, or use of the photograph constitutes acceptance of these Terms. Electronic records and electronic acceptance may constitute the parties' agreement to these Terms to the extent permitted by applicable law.

28. Entire Agreement
These Terms, together with the applicable asset page, purchase information, invoice, and any separate written agreement issued by Lumen, constitute the agreement governing the applicable photograph license. If a separate written agreement expressly conflicts with these Terms, the specific written agreement will control for the rights and uses expressly addressed in that agreement.

29. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by applicable law.
